Please read these Terms of Service ("Terms") carefully before using isvlinks.com.

These Terms govern your use of our website. Specific consulting engagements with ISVLinks, LLC are governed by a separate Statement of Work ("SOW") executed between ISVLinks and the client. In the event of any conflict between these Terms and an executed SOW, the SOW controls.

Part A — Website Use

1. Acceptance of Terms

By accessing isvlinks.com, you agree to be bound by these Terms. If you do not agree, please do not use our website.

2. Description of Website

isvlinks.com provides information about ISVLinks, LLC and our services for ISVs and AWS Systems Integrators. The website is informational and does not constitute an offer or contract.

3. Acceptable Use

You agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the site or its systems
• Scrape, copy, or reproduce content for commercial purposes without written consent

Part B — Consulting Engagements

8. Governance of Engagements

Any consulting engagement between you and ISVLinks, LLC is governed by a separate Statement of Work ("SOW") executed by both parties. The SOW sets out specific deliverables, timelines, fees, payment terms, commitment periods, commission arrangements (if any), confidentiality obligations, and termination rights for that engagement.

These Terms do not by themselves create any engagement, fee obligation, or service relationship.

9. Confidentiality

For prospective clients: any business or technical information shared with us during a sales discussion, intake call, or evaluation will be treated as confidential and used solely to evaluate fit and prepare a proposal. We will not disclose such information to third parties without your permission.

For active engagements, confidentiality obligations are set out in the SOW.

Part C — General Legal Terms

10. Limitation of Liability

To the fullest extent permitted by law, ISVLinks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the website or our services.

For website-based claims, our total cumulative liability is limited to one hundred US dollars (US $100). For claims arising out of a consulting engagement, our total cumulative liability is limited to the fees actually paid by the client to ISVLinks under the applicable SOW in the three months preceding the event giving rise to the claim.

11. No Guarantee of Results

ISVLinks provides strategic and operational consulting services. We do not guarantee specific outcomes, including but not limited to pipeline volume, deal closure, AWS program approvals or enrollments, revenue targets, or partnership designations. Results depend on factors outside our control — including client product-market fit, internal execution capacity, AWS partnership decisions, AWS program changes, and broader market conditions.

12. Indemnification

You agree to indemnify and hold harmless ISVLinks, LLC, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your violation of any applicable law or third-party right, or (c) your use of work product outside the scope of an SOW.

13. Force Majeure

Neither party shall be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, pandemic, internet or infrastructure outages, or changes to AWS programs, policies, or partner structures that materially affect the engagement.

14. DMCA / Copyright Complaints

If you believe content on our website infringes your copyright, please send a notice including the information required under 17 U.S.C. § 512(c)(3) to info@isvlinks.com with the subject line "DMCA Notice."

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in King County, Washington, and both parties consent to personal jurisdiction in those courts.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full effect.

17. Entire Agreement

These Terms (together with any applicable SOW for active engagements) constitute the entire agreement between you and ISVLinks regarding use of the website. They supersede any prior agreements on the same subject matter.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be noted by updating the "Last Updated" date. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
